These Terms of Use (“Terms”) govern your access to and use of the Site. By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, you should not use the Site.

Acceptance of These Terms

By visiting, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies incorporated into them by reference, including our Privacy Policy.

If you are using the Site on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

Changes to These Terms

SALT may update or revise these Terms from time to time in its discretion. When we do, we will update the Effective Date above.

Your continued use of the Site after updated Terms are posted means you accept the revised Terms. You should review these Terms periodically.

Purpose of the Site

The Site is provided for general informational purposes about SALT, our studio, our services, our experience, our projects, and related topics.

While we aim to present useful and accurate information, the Site is not intended to serve as a substitute for direct professional advice, site-specific design services, consulting services, construction advice, legal advice, or other tailored professional guidance.

No Professional-Client Relationship

Your use of the Site, including reviewing its content or contacting SALT through any general contact channel listed on the Site, does not by itself create a landscape architect-client relationship, a professional-client or consultant-client relationship, a fiduciary relationship, a contractor relationship, or any obligation for SALT to provide services.

Consistent with Section 3, a professional or client relationship with SALT is formed only through a separate written agreement signed or otherwise formally accepted by SALT and the client, and only on the terms of that separate agreement.

Landscape architecture is a licensed profession in California and in many other jurisdictions. SALT and its licensed professionals hold licensure in California, Arizona, and Nevada. Nothing on the Site is an offer to perform professional services in any jurisdiction where SALT or its personnel are not appropriately licensed or otherwise permitted to practice.

Eligibility and Permitted Use

You may use the Site only for lawful purposes and only in a manner consistent with these Terms.

You may view Site content for personal, business, or informational use, learn about SALT’s services, projects, and capabilities, and print or save limited excerpts for internal reference so long as you do not remove proprietary notices. You may not use the Site for any unlawful, misleading, harmful, or abusive purpose.

Intellectual Property Rights

The Site and all content on it, including text, graphics, images, photography, renderings, plans, logos, project descriptions, layouts, design elements, downloads, compilations, and other materials, are owned by SALT or its licensors and are protected by applicable intellectual property and proprietary rights laws.

Except as expressly allowed in these Terms, no part of the Site may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, modified, displayed, or exploited without SALT’s prior written permission.

All trademarks, service marks, trade names, logos, and branding displayed on the Site are the property of SALT or their respective owners. Nothing on the Site grants you any license or right to use them without prior written permission.

Limited License

Subject to your compliance with these Terms and with the permitted uses described in Section 5, SALT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for legitimate informational purposes only. This license does not limit Section 6.

This license does not include any right to:

  • resell or commercially exploit the Site or its content;
  • copy or scrape substantial portions of the Site;
  • use data mining, bots, spiders, or similar extraction tools;
  • modify, adapt, translate, or create derivative works from Site content;
  • remove copyright, trademark, or proprietary notices; or
  • use Site content to train, develop, or improve artificial intelligence systems, machine learning models, commercial datasets, or automated systems without SALT’s prior written consent.

SALT may revoke this license at any time if you violate these Terms.

Prohibited Conduct

You agree not to:

  • use the Site in violation of any law, regulation, or third-party right;
  • attempt to gain unauthorized access to the Site, servers, accounts, or networks;
  • interfere with or disrupt the Site or its operation;
  • introduce malware, viruses, worms, malicious code, or harmful materials;
  • use the Site to harass, defame, threaten, or harm any person or entity;
  • impersonate SALT or any other person or entity;
  • misrepresent your identity or affiliation;
  • scrape, harvest, or collect information from the Site using automated means without permission;
  • frame or mirror the Site or any part of it without prior written consent;
  • use the Site in a way that could damage, disable, overburden, or impair the Site; or
  • use Site content to train automated systems or commercial databases without SALT’s prior written consent.

Accuracy and Informational Content Disclaimer

SALT strives to keep the Site current and accurate, but the Site may contain errors, omissions, outdated information, or incomplete descriptions.

Project descriptions, photographs, service summaries, geographic references, timelines, team listings, job postings, and other content are presented for general illustration only. They may not reflect current conditions, final project outcomes, present availability of services or positions, or current licensing status in every jurisdiction.

SALT does not guarantee that the Site will always be available, that it will be error-free, that its content will be complete, accurate, or current, or that the Site will meet your expectations or requirements. Any reliance you place on Site content is at your own risk.

Third-Party Links and Services

The Site contains links to third-party websites, platforms, social media pages, and other external services for convenience only, including links to SALT’s Instagram and LinkedIn pages.

SALT does not control and is not responsible for third-party content, the availability of third-party websites, third-party privacy or security practices, or any product, service, or representation of a third party.

A link on the Site does not imply SALT’s endorsement of a third party or its content. If you leave the Site, you do so at your own risk and should review the applicable terms and privacy policies of the third party.

Submissions and Job Applications

The Site is currently intended to be primarily informational. If you send SALT any information, comments, feedback, suggestions, inquiries, application materials, portfolios, or other materials through the Site or through contact information listed on the Site (collectively, “Submissions”), you agree that:

  • your Submissions are not confidential, unless SALT expressly agrees otherwise in writing;
  • your Submissions do not create any obligation for SALT to review, respond, provide services, or consider you for any position;
  • you will not send sensitive, proprietary, or confidential information through general website channels unless specifically requested and protected by appropriate safeguards;
  • you have the right to provide the Submission; and
  • your Submission will not violate any law or third-party right.

Unless prohibited by law, you grant SALT a non-exclusive, worldwide, royalty-free right to use, reproduce, store, and review Submissions as reasonably necessary to respond to your inquiry, evaluate your candidacy, operate the Site, improve our services, or protect our legal interests. SALT handles Submissions as described in the Privacy Policy referenced in Section 12.

Privacy Policy

Your use of the Site is also subject to SALT’s Privacy Policy, which is incorporated into these Terms by reference.

By using the Site, you acknowledge that SALT may collect and use certain information as described in the Privacy Policy.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SALT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND SYSTEM INTEGRATION.

Without limiting the foregoing, SALT does not warrant that the Site will be uninterrupted, secure, error-free, or free from harmful components.

Some jurisdictions do not allow exclusion of certain warranties, so portions of this section may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SALT AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONSULTANTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO:

  • your use of, or inability to use, the Site;
  • your reliance on Site content;
  • any errors or omissions in Site content;
  • any third-party links, services, or content;
  • unauthorized access to or alteration of transmissions or data; or
  • malware or other harmful code transmitted through the Site by third parties.

TO THE FULLEST EXTENT PERMITTED BY LAW, IF SALT IS FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, SALT’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID, IF ANY, TO USE THE SITE, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

Indemnity

You agree to defend, indemnify, and hold harmless SALT and its owners, officers, directors, employees, agents, affiliates, consultants, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your violation of these Terms, your violation of any law or regulation, your infringement or misappropriation of any third-party right, or any Submission you provide under Section 11.

SALT reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with SALT in that defense.

Suspension and Termination

SALT may suspend, restrict, or terminate your access to the Site, in whole or in part, at any time and without prior notice, if SALT believes that you have violated these Terms, that your use poses a security risk, that your conduct could harm SALT, the Site, or others, or that suspension or termination is necessary for legal or operational reasons.

SALT may also modify, discontinue, or remove all or part of the Site at any time without liability.

Sections 6, 11, and 13 through 25 survive any termination of your access to the Site, together with any other provision that by its nature should survive.

Dispute Resolution and Pre-Suit Notice

These Terms do not require arbitration. Any dispute arising out of or relating to the Site or these Terms will be resolved in court, subject to the notice and informal resolution requirement in this section.

Before filing any action arising out of or relating to the Site or these Terms, you agree to send SALT written notice at the address listed in these Terms describing the nature and basis of the claim, the facts supporting it, and the relief sought. SALT and you will then attempt in good faith to resolve the matter informally for thirty days after the notice is received. If the matter is not resolved within that period, either party may proceed in court.

Nothing in this section prevents either party from bringing an individual claim in small claims court if the claim qualifies for that forum, or from seeking injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

Class Action Waiver

Subject to Section 17, and to the fullest extent permitted by law, you and SALT each agree that any claim arising out of or relating to the Site or these Terms will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, coordinated, or representative proceeding.

If this section is held unenforceable as to a particular claim or a particular request for relief, that claim or request will be severed and may proceed in court, and the remainder of these Terms will continue in full force and effect.

Jury Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SALT EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING BROUGHT UNDER SECTION 17 AND ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS.

Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms will be governed by the laws of the State of California, without regard to conflict-of-laws principles.

Any legal action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction and venue of those courts.

Time Limit on Claims

To the fullest extent permitted by law, any claim arising out of or relating to the Site or these Terms must be filed within one year after the claim accrues, whether or not the notice period in Section 17 has run. Any such claim not filed within that period is permanently barred.

Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any policies expressly incorporated by reference under Section 12, constitute the entire agreement between you and SALT regarding your use of the Site and supersede any prior or contemporaneous understandings relating to that subject matter.

No Waiver

SALT’s failure to enforce any provision of these Terms will not operate as a waiver of that provision or any other provision. Any waiver must be in writing to be effective.

Assignment

You may not assign or transfer your rights or obligations under these Terms without SALT’s prior written consent. SALT may assign these Terms in connection with a merger, reorganization, sale of assets, or similar business transaction, or otherwise at its discretion.
